( 1)  This transaction was executed in multiple trades at prices ranging from $63.54 to $64.10. The price reported above reflects the weighted average sale price. The reporting person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares and prices at which the transaction was effected.
( 2)  Includes 745 shares held under Issuer's Dividend Reinvestment Plan. Also includes 135 shares held in reporting person's Fidelity dividend reinvestment plan, sold on October 21, 2010 in accordance with this report.
( 3)  The reporting person disclaims beneficial ownership of these securities and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or any other purpose.
( 4)  The Phantom Stock Units held under the Issuer's Non-Employee Director Deferred Fee Planare to be settled in cash upon the Reporting Person's Retirement (with each Phantom Stock Unit representing the fair market value of one share of Common Stock on the settlement date).
